The National Company Law Tribunal (NCLT) at Mumbai recently approved the merger scheme between six non-banking financial corporations (NBFCs) and the parent company of the Aditya Birla Group companies..A coram of judicial member Reeta Kohli and technical member Madhu Sinha passed an order approving the merger on February 23."From the material on record, the scheme appears to be fair and reasonable and is not violative of any provisions of law and is not contrary to public policy. Since all the requisite statutory compliances have been fulfilled, the said company scheme petition is made absolute in terms of the prayers mentioned in the petition," the order reads..The six NBFCs approached NCLT for the merger and there was no objection to the company scheme petition. The five companies to be merged with Birla Group Holdings were Birla Family Investments, Birla TMT Holdings, Umang Commercial, Aditya Birla Online Fashion, Infocyber India and Sunbeam Trading & Investments. The scheme provides for amalgamation of the transferor companies with the transferee companies on a going concern basis.The appointed date fixed for the scheme is April 1, 2022.
