Associate position for General Corporate (Advisory) Team

PQE: 3-4 years, preferably from a reputed law firm

Qualification: 

Bachelor’s degree in law from a recognized University.

Admission to the Bar Council of India as an Advocate.

Job Description

• The firm is looking for a candidate who has 3 to 4 years of post-qualification experience in corporate law, with hands-on experience in drafting/ reviewing commercial contracts and providing general corporate advisory including investment advisory.

Key Responsibilities 

• Provide legal advice and strategic guidance to corporate clients on a wide range of advisory matters, including corporate structuring, compliance, and regulatory issues. 

• Conduct legal research and analysis on complex corporate law issues, regulations, and industry trends to support client engagements. 

• Review and draft commercial contracts, legal opinions, memoranda, and advisory notes on corporate governance, company law, and regulatory compliance matters. 

• Stay abreast of developments in corporate law, regulatory changes, and industry trends, and share insights with colleagues and clients as appropriate.

Consultant (Tax)

Practice Area: Tax Advisory and Compliance

Organisation: National Law Firm with offices in Mumbai, New Delhi, and Bengaluru

PQE: 2-4 years of experience in a tax advisory role within an accounting firm or a law firm or a professional services firm.

Qualification: Chartered Accountant (CA) qualification.

Location: Mumbai

Job Description

• The Tax Advisory and Compliance team at BTG Advaya is seeking a senior consultant in Mumbai. 

• The role involves evaluating tax implications for various business restructurings, including mergers and acquisitions, conducting due diligence on corporate tax matters, and preparing comprehensive tax documentation and returns.

• Additionally, the candidate will communicate tax concepts effectively to clients, collaborate with internal teams for integrated solutions, and stay informed on tax legislation changes to advise clients accordingly.

Responsibilities

1. Evaluate tax implications of business restructurings, including share sales, asset sales, slump sales, mergers, and demergers.

2. Assess tax implications for clients involved in buy-side and sell-side mergers and acquisitions.

3. Conduct due diligence focusing on corporate tax, withholding tax, GST, and transfer pricing perspectives.

4. Analyse Indian transfer pricing regulations and assist in implementing transfer pricing policies.

5. Conduct comprehensive tax research to interpret and apply tax regulations to specific client situations.

6. Structure inbound and outbound transactions/ investments.

7. Assess withholding tax implications on payments to both residents and non-residents in accordance with the Income-tax Act and Double Taxation Avoidance Agreements (DTAAs).

8. Prepare and review corporate tax returns, TDS returns, Form 15CA/CB, transfer pricing forms, and other tax filings.

9. Prepare documentation and submissions for tax appeals and provide litigation support.

10. Stay informed about changes in tax legislation and advise clients on the potential impacts.

Client Management

• Communicate effectively with clients to explain tax concepts and implications.

• Collaborate with internal teams/ other practice areas to deliver integrated tax solutions.
