American Tower Corporation (ATC) India has sold its entire equity stake in ATC Telecom Infrastructure Private Limited to Data Infrastructure Trust, an Infrastructure Investment Trust sponsored by Brookfield Asset Management, for an enterprise value of ₹16,500 crore (USD 2 billion).
Talwar Thakore & Associates (TT&A) advised ATC on the transaction. The team was led by Joint Managing Partner Gautam Saha and included Partners Swati Chauhan and Harshit C; Managing Associates Ambika Sahai and Akshita Alok; and Associates Dev Jain, Farhan Shehab Umar and Aditi Somani.
The competition team comprised Partner Sonam Mathur, Managing Associate Shubhang Joshi and Associate Anchit Nayyar.
S&R Associates advised Data Infrastructure Trust. The team was led by Partners Rajat Sethi, Sudip Mahapatra and Raya Hazarika and included Corporate Associates Henal Shah, Komal Parakh, Ananya Kumar, Shreya Jaipuria, Gayathri Kamath, Nikhitha Tadigoppula and Rohin Goyal.
For InvIT-related matters, Partner Pratichi Mishra and Associate Dhanush Dinesh took the lead. Tax matters were overseen by Partner Sumit Bansal along with Associates Shivani Chhabra and Taranjeet Singh.
Competition matters were overseen by Counsel Simran Dhir and Akshat Kulshrestha, along with Associates Anuja Agarwal and Sehaj Mahajan.
As per media reports, this will be Brookfield's third acquisition in the Indian telecommunications space. In 2022, Brookfield acquired a portfolio of 5,000 indoor business solution sites and small cell sites, which advances the rollout of 5G and enables telecom operators to extend their coverage capacity in difficult-to-access and dense areas.
