Anagram Partners, VERTICES PARTNERS, Trilegal act on Arpwood acquisition of Sitara

Arpwood Partners, a buyout-focused private equity firm, is set to acquire a controlling stake of up to 72.28% in Sitara (Sewa Grih Rin Limited) by way of a primary and secondary investment of approximately ₹700 crore.

Anagram Partners acted as the legal advisors to Arpwood.

The transaction team was led by Ankit Mishra (Partner) and Aditi Tralshawala (Partner) and comprised Keegan Pavrey (Principal Associate), Reha Metha (Associate), Rajni Tolani (Associate), and Siddhant Sahu (Associate).

VERTICES PARTNERS represented its long-standing clients Alber Nordic and Oikocredit, existing investors of Sitara in the transaction.

Trilegal advised Sewa Grin Rin Limited and Sewa Mutual Benefit Trust with a team lead by Vaibhav Kothari (Partner), Hema Priyadarshini Patnaik (Counsel), Kopal Raje (Senior Associate) and Vidur Prabhakar (Senior Associate).

Trilegal also advised certain other existing investors in the transaction with a team led by Rachita Bhat (Partner), Kriti Tuteja (Counsel) and Neethu Roy (Counsel).

Sitara provides affordable housing finance to the under-served low-income households, especially their women members, in urban and peri-urban locations.

Existing investors including Investors including Abler Nordic, Oikocredit, RNT Associates, HDFC Bank, HDFC Life Insurance, Women's World Banking Asset Management, and Omidyar Network, will continue to invest in the company.
