Corporate Commercial Associates
(Roles based in Mumbai, New Delhi and Bengaluru, India)

ORGANIZATION:

HSA Advocates is offering roles for mid to senior level lawyers to join their Corporate Commercial practice based out of Mumbai.  All roles will report to the senior management team of HSA Advocates. The Corporate Commercial practice advises companies on various aspects of corporate matters (which includes advise on contractual, labour, corporate and commercial laws) and also provides end-to-end assistance to companies (both in the listed and unlisted space), private equity houses, venture capital funds, from both sell and buy side, in complex local and cross-border transactions across various sectors.

ROLE:

The work is fast moving, technical, bespoke, real world and practical. You will work on a broad array of assignments which will include non-transactional as well as transactional work. On the transaction side you will work on mergers & acquisitions (in-bound and out-bound), private equity, venture capital, joint ventures, corporate restructurings. The role also requires getting involved in new business development and marketing initiatives.

YOUR PROFILE:

• You have a bachelor’s or a master’s degree in law
• You come with at least 5 – 10 years of experience in a law firm
• You have strong knowledge and in-depth understanding of contractual, corporate and commercial laws.
• You have detailed grasp of complex legal concepts and excellent drafting skills along with in-depth grasp on documentation
• You have a commercial perspective and can provide solution oriented pragmatic legal advice to clients
• You have good and effective communication skills
• You should have experience in the following areas:
  • Advising on a variety of M&A, PE/VC transactions, across various disciplines and sectors
  • Managing multiple transactions from engagement to completion, including supervising and coordinating other junior team members
  • Developing and demonstrating resilience and autonomy whilst maintaining the highest levels of client care and standards, taking responsibility for calling on your seniors for supervision and guidance where appropriate
  • Drafting and negotiating sale and purchase agreements, shareholders’ agreements, joint venture agreements, investment agreements, other commercial agreements, demonstrating a strong familiarity with typical issues and an ability to draft and work with bespoke documents and structures
  • Substantial experience working on cross-border transactions
  • Developing familiarity with likely issues and challenges and demonstrating an ability to manage all aspects of the transaction to “get the deal done”
  • Initiating, developing and maintaining client relationships through, amongst other things, networking, targeted business development initiatives and assisting with formal responses to requests for proposals.
