Senior Associate

Department: Corporate Law And M&A

Position Type: Permanent/ Full Time

Location: Mumbai | Remote working can be considered in exceptional cases.

Position Overview

  • We are seeking a highly skilled and experienced Senior Associate to join our Corporate Law and M&A/ PE practice.

  • The successful candidate will play a key role in advising and representing clients on a wide range of corporate matters, including mergers and acquisitions, private equity and venture capital transactions, due diligences, and general corporate advisory.

  • This is an excellent opportunity for a seasoned legal professional to contribute to our firm's growth and success.

Responsibilities

The successful applicant should:

  • Independently prepare first drafts of documentation such as share purchase agreements, share subscription agreements, shareholders’ agreements, investment agreements, business transfer agreements, and other similar transaction documents.

  • Carry out due diligences with minimal partner supervision.

  • Provide strategic legal advice on general corporate matters including relevant sectoral laws and applicable regulations.

  • Drafting general corporate and commercial contracts including but not limited to Service Agreements, NDAs, MSAs, software license agreements, supply agreements, etc.

  • Liaise with clients, regulatory authorities, and other stakeholders to facilitate smooth transaction processes.

  • Stay updated on relevant laws, regulations, and industry trends to provide proactive and informed advice to clients.

  • Should have a strong work ethic and maintain strict adherence to internal and external timelines.

Essential Criteria:

  • Qualified LLB from a premier law school in India or abroad (qualified to work in India).

  • At least 3 years of demonstrated success across M&A, PE/VC transactions with a nationally recognised law firm.  

  • Solution–oriented approach with proven ability to close transactions with minimal supervision.

  • Drive for technical superiority by staying abreast of developments in the law and to be the go-to subject matter expert.

  • Solid understanding of a wide range of complex laws within the Corporate and M&A practice area and a drive to build on this knowledge.

  • Excellent oral and written communication skills.

  • Ability to effectively manage competing priorities.

  • Strong interpersonal skills and a high degree of attention to detail.

Principal Associate

Department: Corporate Law And M&A

Position Type: Permanent/Full Time

Location: Mumbai | Remote working can be considered in exceptional cases.

Position Overview:

  • We are seeking a highly skilled and experienced Principal Associate to join our Corporate Law  and M&A/ PE practice.

  • The successful candidate will play a key role in advising and representing clients on a wide range of corporate matters, including mergers and acquisitions, private equity and venture capital transactions, due diligences, and general corporate advisory.

  • This is an excellent opportunity for a seasoned legal professional to contribute to our firm's growth and success.

Responsibilities

The successful applicant should:

  • Lead and manage corporate transactions, including investments (cross border and domestic), private equity transactions, venture capital transactions,  joint ventures, and other business combinations.

  • Lead the corporate team and carry out due diligences with minimal partner supervision.

  • Provide strategic legal advice on general corporate matters including relevant sectoral laws and applicable regulations.

  • Draft general corporate and commercial contracts including but not limited to Service Agreements, NDAs, MSAs, software license agreements, supply agreements, etc.

  • Liaise with clients, regulatory authorities, and other stakeholders to facilitate smooth transaction processes.

  • Stay updated on relevant laws, regulations, and industry trends to provide proactive and informed advice to clients.

  • Mentor and supervise associates, ensuring high-quality legal work and professional development.

  • Should have a strong work ethic and maintain strict adherence to internal and external timelines.

Essential Criteria:

  • Qualified LLB or LLM or both from a premier law school in India or abroad (qualified to work in India).

  • At least 5 years of demonstrated success across M&A, PE/VC transactions with a nationally recognised law firm.  

  • Solution–oriented approach with proven ability to close transactions independently with minimal to no partner supervision.

  • Drive for technical superiority by staying abreast of developments in the law and to be the go-to subject matter expert.

  • Solid understanding on wide range of complex laws within the Corporate and M&A practice area and a drive to build on this knowledge.

  • Excellent oral and written communication skills.

  • Ability to effectively manage competing priorities.

  • Strong judgment and ability to make well-reasoned independent decisions.

  • Advanced understanding of strategic market collaborations and how the firm can leverage themselves into building and fostering healthy client relationships.

  • Strong interpersonal skills, including a pleasant nature and the ability to influence others.

  • High degree of attention to detail.
