Shardul and Cyril Amarchand Mangaldas, AZB act on Advent International investment in Apollo 24/7

Advent International has made an investment of ₹2,475 crore into Apollo 24/7.

Advent International has made a multi-phase transaction involving an investment of ₹2,475 crore into Apollo Healthco Limited (Apollo 24/7).

Apollo 24/7 has also made a minority stake acquisition in Keimed Private Limited for ₹725 crores, with plans of eventual amalgamation of Keimed with and into Apollo 24/7, with the combined entity being valued at an enterprise value of ₹22,481 crores.

Shardul Amarchand Mangaldas & Co advised Apollo Hospitals Enterprise Limited (AHEL) & Apollo Healthco Limited (Apollo 24/7) on both the transactions.

The transaction team was led by Puja Sondhi (Partner), Aayush Kapoor (Partner), Roma Das (Principal Associate), Prerna Saroha (Senior Associate) and Harjas Singh (Senior Associate).

Apollo has been a long standing client of Shardul Amarchand and the law firm had represented the hospital chain when it's associate company was acquired by Sutherland.

Cyril Amarchand Mangaldas (Mumbai) acted as the legal advisor to Advent for the transactions.

AZB & Partners (Chennai) provided legal advice to AHEL and its Board of Directors.

The transaction team consisted of Aarthi Sivanandh (Senior Partner) and Bhavana Alexander (Partner).

The transaction is aimed at creating a leading integrated, omni-channel healthcare eco-system, having an industry defining business model with pan India presence, and potential to unlock significant business synergies.

The transaction is subject to completion of customary conditions precedent, including approval of the Competition Commission of India & the public shareholders of AHEL.
