What are the topics covered?

The curriculum has been created by experts that make learners ready to take on any and every challenge.

The initial course focuses on company laws and the responsibilities of a Director, and a Promoter. Next comes insights into the concepts of insider trading and take over code.

The program also covers white collar crimes, corporate scams, corporate criminal liability, and more.

First Trimester

A Practitioner’s Approach to Competition Law in India: Learn about the Competition Act of 2002 and apply the regulations in the current scenario. This program provides an introduction to competition law in India. It further analyses the theoretical foundations of competition/antitrust law globally, and the objective of a competition regime in a developing economy like ours.

Legal Research Methodology: Do you know how to conduct effective research? This program provides learners with a fundamental understanding of these methodologies.

Comparative Public Law: The semester ends by covering comparative public law. This program lays emphasis upon how the foregoing conventional contents take shape and operate in “corporate law and governance”. Master the regulations and norms required to beat the offenders and understand how you can uncover scams and hold the right company or individual liable.

Advanced Company Law and Law & Justice in the Globalising World are two other important courses covered in this semester.

Second Trimester

Mergers, Acquisitions and Private Equity: This program aims to provide learners with the basics in the procedure and practices of mergers and acquisitions. The course seeks to shed light on the Companies Act, 2013 in M&A deals.

Commercial Contract Drafting: This program provides a deeper understanding of contract law, through the exploration of essential principles of contract drafting.

Banking and Financial Law: You will learn about the different types of credit providers, as well as the legal framework for their activities. Get introduced to the different types of financing arrangements from a commercial and legal standpoint.

Corporate Insolvency Law: Learn about the insolvency laws and address the challenges of a backlogged and clogged debt resolution system. The main focus is on the roles, responsibilities of the stakeholders that are involved in the corporate insolvency process under the IBC.

Third Trimester

Commercial Contract Drafting: You will understand contract law, through the exploration of essential principles of contract drafting. Become familiar with parties’ agreements from the outset, as opposed to merely deconstructing and evaluating the resultant rights, duties, and liabilities once a dispute arises.

Law of Banking & Finance: Understand different types of credit providers, as well as the legal framework. Get introduced to the different types of financing arrangements from a commercial and legal standpoint.

Corporate Insolvency Law: Explore the substantive and procedural aspects of corporate insolvency, including the court and the out-of-court processes. You will examine regulatory directives of the Reserve Bank of India and other related commercial laws such as company law, wherever relevant.

Dissertation: This is a mandatory program in which the choice of topic and title shall be approved by the JGLS Dissertation Committee. A supervisor will be appointed for each student on an advisory basis. The dissertation process, including submission of topics and preliminary drafts, discussions with supervisors, and review by the supervisor and the JGLS Dissertation Committee will continue in parallel with courses of the LL.M. program.
