Delhi-based S&R Associates have advised UK-based PE company Henderson Equity Partners in their Rs. 80 crore ($17 million) investment in Genesis Colors Pvt. Ltd. Genesis, which owns the luxury fashion brands Satya Paul, Shobhaa De and Bwitch!, has diluted approximately 12 percent to Henderson. Genesis also has distribution rights in India for global luxury brands such as Jimmy Choo, Canali, Aigner, Paul Smith, Just Cavalli and Bottega Veneta. The S&R team was led by Partner Rajat Sethi, assisted by Associates Venkatesh Vijayaraghavan, Dhruv Nath and Tanya Agarwal.
Genesis was advised by the Mumbai offices of Amarchand Mangaldas. The company, which was planning an IPO this year, has stated that it will now defer the public offering to a later time. Genesis has raised Rs 110 crore ($23 million) by selling a minority stake to a consortium comprising Sequoia Capital, Mayfield Fund and Silicon Valley Bank.
